• Misrepresent your identity, impersonate any person or entity, or submit false billing or contact information.

• Use our infrastructure to send unsolicited bulk communications (spam) or launch Denial of Service (DoS/DDoS) attacks.

5. Payments, Billing & Refunds

Payment schedules, milestone billing, taxes, late fees, and refund policies.

All fees, payment schedules, retainer billing, and currency specifications are defined in the relevant invoice or project agreement. Unless specified otherwise, payments are due upon receipt of invoice or according to milestone schedules.

Late Payments: Invoices overdue by more than 15 calendar days may accrue late interest at 1.5% per month (or the maximum allowed by law) and may lead to temporary suspension of active software development, hosting, or consulting services.

Taxes: Prices listed are exclusive of applicable GST, VAT, or withholding taxes, which shall be added to invoices in compliance with relevant statutory regulations.

Refund Policy: Due to the custom nature of software engineering, design work, and consulting time, upfront deposits and milestone payments for completed deliverables are non-refundable unless explicitly mandated by law or stated in an executed contract.

6. Intellectual Property & Code Ownership

Ownership of custom code, pre-existing assets, trade secrets, and branding.

TechKritika IP: All branding, website content, software frameworks, proprietary libraries, reusable code components, design systems, logos, trade secrets, and documentation owned by TechKritika prior to or outside of a specific agreement remain the exclusive intellectual property of TechKritika Software LLP.

Client Deliverables: Upon full and final payment of all agreed invoice fees, ownership of final custom codebase, custom graphic assets, and bespoke project deliverables created specifically for the Client shall transfer to the Client as specified in the Master Services Agreement.

Open Source Components: Deliverables may incorporate open-source libraries or third-party packages governed by their respective licenses (MIT, Apache 2.0, BSD). TechKritika warrants compliance with all open-source licensing terms.

While TechKritika strives for high availability (targeting 99.9% uptime for managed cloud services), we do not guarantee uninterrupted or error-free operation of hosted applications unless a dedicated SLA with financial uptime credits has been formally executed.

Scheduled Maintenance: We reserve the right to perform routine system maintenance, server upgrades, security patches, and database optimizations. Notice for planned maintenance windows will be provided in advance whenever practicable.

Technical Support: Standard technical support hours and response times (e.g. Critical, High, Normal priority response) are outlined in active maintenance retainer plans.
